Basic Concept
Our corporate philosophy is "We help people lead healthy lives by offering excellent pharmaceuticals" and "Our corporate growth is proportional to our personal growth". Based on this corporate philosophy, we will continue to fulfill our responsibilities to shareholders, employees, healthcare professionals, and other stakeholders by developing, manufacturing, and selling high-quality pharmaceuticals, while striving for sustainable growth and medium- to long-term enhancement of corporate value through prompt and flexible decision-making with transparency and autonomy.
Management Decision Making
We have selected a company with a board of corporate auditors as our organizational design.
Board of Directors
Our board of directors consists of nine directors. We have designated four of them as Independent Directors based on the stipulations made by Tokyo Stock Exchange, Inc. (hereinafter referred to as TSE), and we have notified TSE accordingly. The meeting is held once a month in principle to make resolutions and reports on important managerial matters. Once a year, we conduct analysis and self-evaluation through questionnaires for all directors and corporate auditors to ensure and improve the effectiveness of the board of directors.
Management Executive Committee
The Management Executive Committee is an advisory body to the president for the purpose of discussing the appropriateness of execution and the presence or absence of risks in making important decisions in the management of the company, ensuring the appropriateness and efficiency of business execution, and sharing among the executive officers the operations under the jurisdiction of each executive officer. The Management Executive Committee consists of the president and all executive officers, and it meets twice a month.
Board of Corporate Auditors
Our board of corporate auditors consists of three corporate auditors. We have designated two of them as Independent Directors based on the stipulations made by TSE, and we have notified TSE accordingly.
Nomination and Compensation Committee
As an advisory body to the board of directors, the Nomination and Compensation Committee deliberates on the appointment, dismissal, and remuneration of directors, corporate auditors, and executive officers, and reports to the board of directors. The chairperson and majority of the committee members are independent outside directors, and the committee ensures appropriate management of the process of appointing and dismissing officers and senior management and determining remuneration.
